These Terms of Service (“Terms”) govern the provision and use of services offered by Northbridge Broadcast Solutions Ltd (“Northbridge Broadcast Solutions Ltd”, “we”, “us”, or “our”). By engaging our services, requesting a quotation, placing an order, signing a statement of work, or otherwise accepting our services, you agree to be bound by these Terms.

1. Introduction and Acceptance of Terms

These Terms form a legally binding agreement between you (“Client”, “you”, or “your”) and Northbridge Broadcast Solutions Ltd, whose registered business address is Northbridge Broadcast, 14 Northburgh Street, London EC1V 0AY, United Kingdom.

If you do not agree to these Terms, you must not use or procure our services. Any additional or conflicting terms proposed by you shall not apply unless expressly accepted in writing by an authorised representative of Northbridge Broadcast Solutions Ltd.

• These Terms apply to all services provided by Northbridge Broadcast Solutions Ltd.
• Services may also be subject to a quotation, proposal, statement of work, production schedule, or service order.
• In the event of conflict, the following order of precedence applies: (1) signed statement of work, (2) quotation or proposal, (3) these Terms, unless expressly stated otherwise in writing.

2. Scope of Services

Northbridge Broadcast Solutions Ltd provides broadcast and technical production services, which may include, without limitation:

• Live broadcast production
• Studio engineering support
• Remote transmission management
• Outside broadcast coordination
• Multi-camera event coverage
• Streaming and webcast delivery
• Audio and video signal routing

We will provide the services described in the relevant quotation, proposal, or statement of work. Any services not expressly included are excluded unless agreed in writing. We may use employees, contractors, subcontractors, or third-party suppliers to perform the services, provided that we remain responsible for our own obligations under these Terms.

All schedules, delivery dates, transmission times, technical specifications, and service levels are based on information available at the time of agreement and may be subject to reasonable adjustment where required by operational, technical, safety, venue, connectivity, or third-party constraints.

3. User Obligations and Responsibilities

You agree to cooperate fully with Northbridge Broadcast Solutions Ltd and to provide accurate, complete, and timely information necessary for us to perform the services.

• Provide all required creative, editorial, technical, venue, access, and production information in a timely manner.
• Obtain all permits, permissions, venue approvals, talent releases, music clearances, location permissions, and third-party consents necessary for the project, unless expressly agreed otherwise in writing.
• Ensure that any content supplied by you is lawful, accurate, non-infringing, and does not breach any applicable law or third-party right.
• Provide safe and suitable access to venues, equipment, networks, power, and working conditions.
• Ensure that your personnel, guests, performers, and representatives comply with reasonable site, studio, broadcast, and safety instructions.
• Back up all data, content, and materials provided to us unless we have expressly agreed in writing to manage storage or archiving.
• Notify us promptly of any issue that may affect delivery, including technical faults, venue restrictions, or changes in programme content or timing.

You must not use our services for unlawful, defamatory, obscene, infringing, fraudulent, harmful, or misleading content, or in a manner that interferes with our systems, equipment, staff, or operations.

4. Payment Terms and Conditions

Fees for services shall be as stated in our quotation, proposal, rate card, or statement of work. Unless otherwise agreed in writing:

• All prices are exclusive of VAT and any applicable taxes, duties, levies, or government charges, which shall be payable by you in addition to the fees.
• Invoices are payable within the period specified on the invoice; if no period is stated, payment is due within 14 days of the invoice date.
• We may require a deposit, advance payment, or milestone payments before commencing or continuing services.
• Late payments may result in suspension of services, withholding of deliverables, and/or interest and reasonable recovery costs to the extent permitted by applicable law.
• You shall not withhold, set off, or deduct any amount from an invoice except as required by law or agreed in writing.

Any additional work, change requests, overtime, out-of-hours support, extended crew call times, re-rigs, reshoots, connectivity changes, or technical amendments requested by you may be charged at our then-current rates or at rates agreed in writing.

5. Cancellation and Refund Policy

Cancellations or postponements must be made in writing and are effective only upon our written acknowledgement. Because broadcast and production services may involve reserved crew, equipment, venue booking, transmission capacity, and third-party commitments, cancellation fees may apply.

• If you cancel after confirmation but before work has commenced, you may remain liable for costs incurred up to the cancellation date, including non-refundable third-party expenses and administrative charges.
• If you cancel after production preparation has begun, you may be charged for all work performed, resources reserved, and any committed costs.
• If cancellation occurs on or close to the scheduled service date, you may be charged up to the full agreed fee, subject to any cost savings reasonably achieved by us.
• Refunds, if any, will only be issued where expressly agreed in writing or required by applicable law.

Where a project is postponed rather than cancelled, we may, at our discretion, apply amounts paid to the rescheduled date, subject to resource availability and any additional costs incurred.

We are not responsible for delays, cancellations, or reduced service performance caused by your failure to provide access, approvals, information, or cooperation in a timely manner.

6. Liability Limitations

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to the foregoing, Northbridge Broadcast Solutions Ltd shall not be liable for:

• loss of profit, revenue, business, contracts, goodwill, anticipated savings, or opportunity;
• loss or corruption of data, content, or media, except where caused by our failure to exercise reasonable care and skill;
• indirect, consequential, special, or punitive losses;
• third-party acts or omissions, including venue operators, telecom providers, internet service providers, platform operators, carriers, or subcontractors not under our direct control;
• technical failures resulting from inadequate power, network connectivity, venue infrastructure, equipment supplied by the Client, or content provided by the Client;
• interruptions caused by force majeure events or events outside our reasonable control.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any service, contract, or series of related events shall be limited to the amount paid or payable by you for the specific services giving rise to the claim.

You agree to take reasonable steps to mitigate any loss, and we shall not be liable for losses that could have been avoided or reduced by such steps.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, templates, workflows, software, systems, know-how, and technical processes belonging to Northbridge Broadcast Solutions Ltd or our licensors remain our property or the property of our licensors.

Upon full payment of all undisputed fees, you will receive the rights expressly stated in the relevant statement of work or written agreement. Unless otherwise agreed:

• You retain ownership of content, scripts, graphics, footage, audio, branding, and materials supplied by you.
• You grant us a non-exclusive, worldwide, royalty-free licence to use your supplied materials solely to the extent necessary to provide the services.
• We may retain copies of technical records, project files, logs, and documentation for operational, legal, audit, and archival purposes.
• Any delivery of raw footage, project files, or editable assets is subject to prior agreement and may incur additional fees.

Unless expressly agreed otherwise in writing, we reserve the right to use non-confidential project descriptions, still images, excerpts, and references to completed work for portfolio, showreel, marketing, or case study purposes, provided that such use does not unreasonably disclose confidential information or materially prejudice your legitimate interests.

8. Data Protection and Privacy

Northbridge Broadcast Solutions Ltd will handle personal data in accordance with applicable data protection laws and our privacy practices. We will process personal data only where necessary for the provision of services, contract administration, legal compliance, safety, security, or legitimate business purposes.

• You confirm that you have all necessary rights, notices, consents, and lawful bases to provide any personal data to us.
• Where we act as a data processor, we will process personal data only on your lawful instructions and in accordance with applicable data processing requirements agreed between the parties.
• You acknowledge that broadcast and live event production may involve public filming, live streaming, recording, and capture of images, voice, and metadata.
• You are responsible for informing relevant individuals where required and for obtaining consents or releases where applicable.

We may use technical and organisational measures designed to protect personal data against unauthorised access, loss, or disclosure. However, no system can be guaranteed to be completely secure.

9. Force Majeure

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

• natural disasters, fire, flood, storm, or severe weather;
• war, terrorism, civil unrest, riot, strike, labour dispute, or industrial action;
• power failure, telecommunications outage, internet disruption, cyber incident, or platform failure;
• government action, law change, emergency restrictions, or regulatory intervention;
• equipment failure, transport disruption, venue closure, or supplier failure;
• pandemic, epidemic, public health emergency, or quarantine restrictions.

Where a force majeure event occurs, we may suspend, delay, modify, or cancel affected services without liability, and we will use reasonable efforts to mitigate the impact and resume performance as soon as reasonably practicable.

10. Changes to Terms

We may update or modify these Terms from time to time by publishing a revised version or by notifying you in writing. Changes will apply from the date specified in the notice or, if no date is specified, from the date of publication.

If you continue to use or procure services from Northbridge Broadcast Solutions Ltd after the effective date of revised Terms, you will be deemed to have accepted those changes, except where a written contract signed by both parties states otherwise.

11. Applicable Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of England and Wales.

Subject to any mandatory legal requirement to the contrary, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

13. Severability Clause

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable.
